Effective Date: March 11, 2026
These Terms of Architecture govern the professional relationship between ServerPoint Technology Limited ("The Firm") and the Client. Engagement with our systems, portals, or consultation protocols constitutes a binding agreement to these architectural standards.
ServerPoint provides custom software architecture, automation logic, and digital transformation consulting. Each project is governed by a specific "System Blueprint" (Statement of Work) which outlines the technical deliverables and deployment timelines.
Unless otherwise negotiated, all custom logic, source code, and architectural frameworks developed by ServerPoint remain the intellectual property of The Firm until full final payment is realized. Upon final settlement, the Client is granted a perpetual, non-exclusive license to utilize the architecture for their specific business operations.
While we architect for maximum stability, ServerPoint is not liable for data loss or system downtime caused by third-party hosting providers, API failures beyond our control, or unauthorized "Zero-Day" exploits. We recommend a "Maintenance Protocol" for all mission-critical systems.
This agreement is governed by the laws of the Federal Republic of Nigeria. Any disputes shall be resolved via arbitration within the jurisdiction of Ogun State, where ServerPoint Technology Limited is registered (RC 8559851).
